Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Seekmetrix ("Agency", "we", "us"). By using our website (seekmetrix.com), requesting proposals, or engaging our digital marketing, SEO, paid media, or web development services, you agree to comply with and be bound by these Terms.

2. Scope of Services

Seekmetrix provides bespoke digital marketing solutions including but not limited to:

• Social Media Marketing & Content Creation: Visual asset development, copy, and posting schedules.
• Paid Advertising Management: Campaign planning, execution, and optimization on Meta Ads, Google Ads, and related platforms.
• Search Engine Optimization (SEO): On-page, technical, keyword research, and local SEO services.
• Web Design & Development: UI/UX design, custom responsive websites, and landing pages.
• Analytics & Growth Strategy: Performance tracking, reporting, and conversion rate optimization.

Specific project deliverables, milestones, timelines, and budgets will be outlined in individual Project Proposals or Statements of Work (SOW) agreed upon with each client.

3. Client Responsibilities & Approvals

To ensure high quality and timely delivery, the Client agrees to:

• Provide required brand assets, access permissions (e.g. Ad accounts, Google Tag Manager, hosting), and project briefs in a timely manner.
• Review and provide timely approvals or feedback on draft creatives, campaigns, and website staging links.
• Ensure all content, images, trademarks, and claims provided by the Client are lawful and do not infringe on third-party intellectual property.

4. Advertising Budgets & Third-Party Spend

For all paid advertising campaigns (Google Ads, Meta Ads, etc.):

• Direct advertising spend is paid directly by the Client to the respective ad networks via the Client’s billing method, unless explicitly agreed otherwise in writing.
• Seekmetrix's fees cover professional management, creative strategy, and optimization, and are separate from third-party media spend.
• Platform performance (e.g. ad auctions, platform algorithms, ad network downtime) is subject to third-party policies beyond Seekmetrix's direct control.

5. Intellectual Property Rights

• Client Materials: The Client retains all ownership rights to existing brand assets, logos, and materials provided to Seekmetrix.
• Deliverables: Upon full payment of all agreed fees, the Client is granted full ownership and rights to the final custom designs, website code, and creative assets produced specifically for the project.
• Agency Portfolio: Seekmetrix retains the right to showcase non-confidential completed work, case studies, and performance highlights in agency portfolios and marketing materials.

6. Payment Terms & Invoicing

• Invoices are issued according to the payment schedules specified in individual proposals (e.g., upfront deposit, milestone payments, or monthly retainer).
• Invoices must be settled within the timeframe indicated on the invoice (typically 7–14 days).
• Services or ad management may be temporarily paused if invoices remain overdue after written notice.

7. Limitation of Liability

While Seekmetrix applies proven industry best practices to achieve maximum performance and digital growth, marketing outcomes depend on market factors, competition, user behavior, and platform algorithmic updates. Seekmetrix shall not be liable for indirect, incidental, or consequential damages resulting from platform policy changes, third-party hosting outages, or loss of expected business profits.

8. Termination of Agreement

Either party may terminate a monthly retainer or ongoing service agreement by providing written notice (minimum 14–30 days as specified in the service contract). The Client will be billed for work completed and hours incurred up to the effective termination date.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising under these Terms shall be resolved amicably through mutual discussion or through the competent courts of Sri Lanka.
